Important Notice to Users 

Please read these Master Terms and Conditions carefully before accessing, browsing, or placing an order on syneticusa.com. By using our website or purchasing products from Synetic International Inc., you agree to be legally bound by all terms, policies, disclaimers, and dispute resolution provisions contained herein.  

AGREEMENT TO TERMS & DEFINITIONS 

This Agreement ("Terms") is entered into between you ("Customer," "User," or "You") and Synetic International Inc. d/b/a SYNETICUSA ("SYNETICUSA," "Company," "We," "Us," or "Our"). These Terms govern your access to and use of syneticusa.com (the "Site"), including all web pages, subdomains, features, content, e-commerce services, and product purchases.  

Key Definitions: 

  • "Products" refers to all truck bed covers, tonneau covers, rack systems, off-road accessories, wheels, LED products, hardware, and related goods offered for sale on the Site.  

  • "Services" refers to the online storefront, account services, customer support, and order processing provided by SYNETICUSA.  

  • "Content" encompasses all graphics, logos, images, text, product descriptions, media, compilations, and software owned by or licensed to SYNETICUSA. 

PROMOTIONAL & PEAK SEASON TERMS 

Specific terms apply to high-volume events, holiday peak periods, such as, but not limited to, Mega Sales, Flash Sales, Thanksgiving, and Black Friday promotions: 

  • Promotional Window: Promotional pricing and discount codes are strictly valid during the designated event timeframe. Purchases made prior to or after the promotional window are not eligible for retroactive price adjustments, credits, or price matching.  

  • Promotional Items Return Policy: Products designated specifically as Clearance, Scratch & Dent, or B-Stock are considered Final Sale and non-returnable, except in cases of verified manufacturer defect or transit damage reported within 48 hours of delivery. Standard promotional items (including Black Friday event sales) remain eligible for return within our standard return window, subject to applicable restocking fees and inspection. Exchanges may be permitted at the same promotional value within the event period, subject to available inventory.  

  • Order Limits & Anti-Resale Protections: SYNETICUSA reserves the right to decline or cancel multiple orders placed for the same item by the same account, customer, or household during promotional events if orders appear intended to exploit pricing adjustments or engage in unauthorized reselling.  

  • Exclusions & Channel Consistency: Promotional discounts cannot be combined with trade/wholesale accounts, contract pricing, or secondary coupons. Pricing and availability may vary between online platforms and authorized distributor channels.  

USER ACCOUNTS & PROHIBITED ACTIVITIES 

If you create an account on syneticusa.com, you are responsible for maintaining credential confidentiality and restricting access to your device. You agree to accept full responsibility for all activities conducted under your account. You agree not to engage in prohibited activities, including: violating local or federal laws, introducing viruses or malicious code, attempting unauthorized access to Site servers, reverse engineering Site software, or scraping Site data for commercial purposes.  

INTELLECTUAL PROPERTY & USER CONTENT 

All Content on syneticusa.com—including text, graphics, logos, images, digital downloads, software compilations, and trademarks—is the exclusive property of Synetic International Inc. or its suppliers and protected by U.S. and international intellectual property laws. You are granted a limited, revocable license for personal, non-commercial use only.  

If you submit product reviews, photos, or feedback ("User Content"), you grant SYNETICUSA a perpetual, worldwide, non-exclusive, royalty-free license to publish, reproduce, and adapt such content in marketing materials across all media. 

MISCELLANEOUS & CONTACT INFORMATION 

If any provision of these Terms is deemed invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force. SYNETICUSA's failure to enforce any right does not constitute a waiver. These Terms constitute the entire agreement between you and SYNETICUSA regarding Site use and product purchases.

DISCLAIMERS & LIMITATION OF LIABILITY 

DISCLAIMER OF WARRANTIES: The site and all products and services are provided on an "as is" and "as available" basis. syneticusa makes no representations or warranties of any kind, express or implied, as to the operation of the site, product fitment for specific custom uses, or freedom from technical errors. to the full extent permissible by law, syneticusa disclaims all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

LIMITATION OF LIABILITY: in no event shall synetic international inc., its directors, officers, employees, affiliates, agents, or contractors be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of vehicle function, cargo damage, installation or re-installation costs, lost profits, or personal property damage) arising from the use of our products or site. syneticusa's total aggregate liability for any claim shall not exceed the actual purchase price paid by you for the specific product giving rise to such claim.

Indemnification 

You agree to indemnify, defend, and hold harmless SYNETICUSA and its officers, directors, and employees from any claims, liabilities, damages, costs, or attorney's fees resulting from your violation of these Terms, misuse of Products, or improper vehicle installation.  

Force Majeure 

SYNETICUSA shall not be liable for failure or delay in fulfilling performance obligations when caused by events beyond reasonable control, including natural disasters, weather extremes, acts of war, port congestion, supply chain shortages, labor strikes, or governmental restrictions.  

DISPUTE RESOLUTION, GOVERNING LAW, & CLASS WAIVER 

  • Governing Law: These Terms and any dispute arising from your interaction with SYNETICUSA shall be governed by and construed under the laws of the State of California, without regard to conflict of law principles.  
  • Mandatory Informal Resolution: Before initiating formal legal proceedings, you and SYNETICUSA agree to attempt informal dispute resolution in good faith for at least sixty (60) days following written notice of the dispute.  
  • Binding Arbitration & Class Action Waiver: Any unresolved controversy, claim, or dispute shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You and SYNETICUSA agree that all claims must be brought in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
  • Statute of limitations: you agree that any cause of action arising out of or related to SYNETICUSA must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.
